JoltMile Partner Agreement

This agreement is between Reeksac, trading as JoltMile ("JoltMile", "we", "us"), and you, the person or business named on your partner account ("you"). It sets out how you can refer people to JoltMile and how we pay you for it. You accept it by ticking the box and pressing Accept when you first log in to your partner dashboard, and we record the date and the version you accepted.
1. What the partnership is
- We give you one or more referral codes, each with its own link (joltmile.com/r/YOURCODE) and QR code. You share them with people who might use JoltMile.
- When someone you refer pays for a JoltMile subscription, we pay you commission as set out in section 3.
- The partnership is not exclusive. You can promote other products and we can work with other partners.
- You are independent. You are not our employee, agent or representative, and you cannot make promises or agreements on our behalf.
- You must be at least 18, and the details you give us must be accurate.
2. Your codes and referred drivers
- Your codes can be used any number of times.
- A "referred driver" is a JoltMile user whose account is linked to one of your codes. That happens when they arrive through your link and sign up, or when they enter your code in the app or on the website. A code can only be added within 60 days of the account being created.
- Each account can be linked to one code only, and the first code linked is the one that counts. It cannot be moved to another partner later.
- Your own JoltMile account, and any account you control, cannot be a referred driver.
- We can create, change or switch off codes. If we switch off a code while the partnership continues, we will give you a replacement.
3. Commission
You earn 35% of what a referred driver pays for their JoltMile subscription, including VAT, for the first 12 months of that driver's subscription. A "qualifying payment" is a subscription payment made by a referred driver through the App Store or Google Play that the store has confirmed to us.

- Commission is counted in months of subscription. A monthly payment uses one month and a yearly payment uses twelve, and each referred driver has 12 months in total. If a driver switches from monthly to yearly part way through, you earn on the months they have left: for example, after 3 monthly payments a yearly payment earns 9/12 of the yearly commission.
- Once a driver's 12 months are used, their later payments earn nothing.
- If prices change, commission is worked out on the price the driver actually pays.
- No commission is earned on the free plan, on test or sandbox purchases, on payments that are refunded or reversed, or on payments that come from a breach of this agreement.
- Your dashboard shows each qualifying payment and the commission on it. It is the record we pay from.
4. Refunds and reversals
- If a qualifying payment is refunded or reversed by Apple or Google, the commission on it is cancelled.
- If we have already paid you that commission, we take the same amount off your next payout. If there is no payout to take it from within 6 months, we may ask you to repay it.
5. How and when we pay
- We pay on the last working day of each month (not a weekend or a bank holiday in England and Wales). Each payout covers commission on qualifying payments made up to the end of the previous month, less any refunds under section 4.
- We pay by bank transfer to a UK bank account in your name, which you give us by email. Tell us promptly if it changes. We are not responsible for a payment sent to the details you gave us.
- There is no minimum payout. If refunds leave your balance at zero or below, nothing is paid that month and the balance carries forward.
- All amounts are in pounds sterling.
- If you think a payout is wrong, tell us within 60 days of it and we will look at it with you.
6. Tax
- We pay commission gross. We do not deduct tax or National Insurance, and you are responsible for declaring it and paying any tax due.
- If you are registered for VAT, tell us before your first payout and give us your VAT number. You will need to send us a VAT invoice for each payout, unless we agree in writing to issue self-billed invoices for you instead.
7. How you promote JoltMile
Both of us can be held responsible for your promotions, so these rules matter. You must:
- Make it clear that you are paid if people sign up. Under the UK Advertising Codes (the CAP Code) and the CMA's guidance, content with your link or code is advertising, so label it clearly, for example with "Ad" or "#ad", where people will see it before they engage with it.
- Be honest and accurate. Do not promise tax savings, earnings or results, do not say JoltMile files tax returns or gives tax advice, and do not say JoltMile is free without saying the free plan covers a limited number of shifts each month.
- Not pretend to be JoltMile, or suggest you work for us or that we endorse anything we have not agreed to.
- Not offer people money, cashback or other rewards for using your code unless we have agreed it in writing.
- Not send marketing emails, texts or messages to people who have not agreed to receive them, and follow the Privacy and Electronic Communications Regulations and UK GDPR for anything you send.
- Not bid on "JoltMile" or similar terms in search advertising, or register domains or social accounts using our name, without our written agreement.
- Not use your own code, create accounts to earn commission, use bots or fake traffic, or do anything else that generates referrals that are not real people choosing JoltMile.
- Follow the law, and the rules of any platform you post on.
If you break these rules we may cancel the commission connected to the breach, and in a serious case end the partnership straight away (section 10).
8. Our name and logo
- While the partnership lasts, you may use the JoltMile name, logo and app screenshots to promote JoltMile under this agreement. You may not change them or use them for anything else.
- We own them, and everything else that is ours stays ours. This permission ends when the partnership ends.
9. Data and confidentiality
- You never receive personal information about referred drivers. Your dashboard shows numbers: clicks, sign-ups, paid subscribers and commission. Their accounts and records stay private to them.
- We use your name, email address, bank details and payout records to run the partnership and pay you, as described in our Privacy Policy at joltmile.com/privacy.
- You are responsible for any personal information you collect from your own audience.
- Keep the figures on your dashboard, and anything we tell you that is not public, confidential, unless the law requires otherwise.
10. Ending the partnership
- We can end or suspend the partnership at any time, for any reason, by emailing you. You can end it at any time by emailing us.
- When it ends, your codes stop linking new accounts. You still earn commission on qualifying payments from drivers who were linked to your codes before it ended, up to each driver's 12 months, and we pay it on the normal payout days.
- The exception is commission connected to a breach of section 7, which we may cancel.
- Within 14 days of the end you must stop using our name and logo and take down your links and codes where you reasonably can.
- Sections 4, 5, 6, 9, 10, 12 and 13 continue after the partnership ends.
11. Changes to this agreement
- We may change this agreement, including the commission, by giving you at least 30 days' notice by email.
- A change to commission applies to payments made after the change takes effect.
- We will ask you to accept the new version the next time you log in. If you do not want to accept it, you can end the partnership before the change takes effect and section 10 applies.
12. Responsibility
- We provide the partner programme as it is. We try to keep links, tracking and the dashboard working, but we do not promise they will always be available or error free. Where a referral is not recorded because of a fault on our side and you can show it, we will put it right.
- We are not liable for indirect losses, or for lost profit, income or opportunity.
- Our total liability to you under this agreement is limited to the commission paid or payable to you in the 12 months before the claim.
- You are responsible for your own promotions, and for any claim made against us because of something you published or did in breach of this agreement.
- Nothing in this agreement limits liability for death or personal injury caused by negligence, for fraud, or for anything else the law does not allow to be limited.
13. General
- This agreement, and anything we agree in writing under it, is the whole agreement between us about the partner programme.
- You may not transfer this agreement to anyone else. We may transfer it to anyone who takes over JoltMile, and we will tell you if we do.
- We send notices to the email address on your partner account. You send them to issac@joltmile.com.
- If any part of this agreement cannot be enforced, the rest still applies.
- Nobody else has rights under this agreement.
- This agreement is governed by the law of England and Wales, and the courts of England and Wales deal with any dispute about it.
